Zoom Refer-a-Friend Program Terms and Conditions

These Zoom Refer-a-Friend Terms and Conditions (“Terms”) are additional terms to the Zoom Terms of Service, and govern your participation in the Zoom Refer-a-Friend Program (“Program”).  Capitalized terms that are not defined here will have the same meaning given to them in the Zoom Terms of Service.  The Program is administered by Zoom, which may outsource certain elements of administration to third parties (collectively “Administrator”).  Zoom and Administrator are collectively “Zoom Entities”.

  1. Binding Agreement.
    By participating in the Program, you are bound by these Terms and indicate your agreement to them.  If you do not agree to these Terms in their entirety, then you cannot participate in the Program.  You also cannot where in so doing you would violate any applicable law or regulations.  This Program is void where such referral programs are prohibited.
  2. Privacy.
    The personal information collected, processed, and used as part of the Program will be used in accordance with the Zoom Privacy Statement.
  3. How the Program Works.
    The Program offers eligible Zoom users (“Referrers”) the opportunity to earn a gift card when they refer  friends (“Friends”) who purchase Zoom Pro Annual (“Pro Annual”).To be eligible to be a Referrer, you must reside or be a permanent resident in the U.S., Canada or Mexico and have an existing Zoom Basic or Pro account or sign-up for a Zoom Basic or Pro account before you can become a Referrer. If, however, the Zoom Basic or Pro account is associated with a Healthcare, Education, Enterprise, or Government account, then that Zoom Basic or Pro account customer is ineligible to be a Referrer.The gift card is a $20 USD, $25 CAD or $260 MXN Amazon.com Gift Card (“Gift Card”) per license of Pro Annual purchased by a Friend in a single transaction, up to a maximum of $180 USD, $225 CAD or $2340 MXN in Gift Cards per such transaction.

    As part of the Program, Zoom will provide Referrers with a share link (“Share Link”) that offers their Friends a discount off their purchase of a first year of a new, paid, Pro Annual subscription (“New Subscriber Discount”).

    To obtain the Share Link, Referrers must log into their Zoom account and navigate to rewards.zoom.us (“Landing Page”). Subject to Section 5 below, Referrers may share the Share Link with Friends by whatever means they wish, including email, social media posts, and integrations on the Landing Page with email and social media platforms and messenger functionality. These integrations are provided by Zoom solely for Referrer’s convenience to share the Sharing Link with Friends. Referrer is solely responsible for their use and results. Referrers may not modify or contradict the terms of the New Subscriber Discount when sharing the Share Link.

    Companies and employees of Zoom Entities or any of their subsidiaries, affiliates, or promotional agencies, including immediate family and household members, are not able to participate in the Program.

    All Zoom Entities’ decisions are final and binding, except where prohibited.

  4. Gift Card and New Subscriber Discount Restrictions.
    Referrer’s receipt of the Gift Card is conditioned on the Friend (i) using the Share Link from the Referrer, who must be in good standing with Zoom, to purchase Pro Annual before the expiration of the New Subscriber Discount and (ii) not previously having purchased Pro Annual under any email or alias for at least 12 months.If a Friend receives more than one Share Link, Zoom will provide the Gift Card to the person whose Share Link is used to complete the purchase of Pro Annual regardless of when the Share Links were shared.  If a Friend purchases Pro Annual using any other method, the purchase will not count as a referral and Referrer will not earn the Gift Card.The maximum cumulative amount of Gift Cards that a Referrer who is a US citizen or permanent resident can receive per calendar year is $500 USD.

    Referrers cannot refer themselves or create multiple, fictitious, or fake accounts with Zoom.

  5. Sharing the Share Link
    The Share Link should only be shared for personal and non-commercial purposes, and only with friends where there is a reasonable basis for believing that they will appreciate receiving the New Subscriber Discount as required by applicable laws in the jurisdiction(s) where your Friends reside.When sharing the Share Link, Referrers must clearly explain that they will receive a reward for each Friend that makes an eligible purchase using the Share Link.  Failure to make this disclosure is a violation of these Terms.Referrer is responsible for ensuring that Referrer has all permissions required by applicable law prior to sharing the Share Link by direct marketing.  Violations of any applicable law, including privacy or marketing laws, will disqualify the Referrer from receiving a Gift Card and may result in the loss of eligibility in the Program.

    Referrers must respect the spirit of the Program by not engaging in spamming or other unfair or otherwise problematic practices, including creating fake accounts or harassing potential referral sources.

  6. Disclosure of Your Name to Friends
    We may communicate to Friends who the Friends’ Referrers are for the purpose of assuring and confirming that the Friends are aware of the identity of the people who made the referrals.
  7. Amazon.com Gift Card and Visa Gift Card
    Neither Zoom Entities nor the Program is affiliated with or sponsored or endorsed by Amazon.com Inc. (“Amazon.com”).  Amazon.com is not a sponsor of the Program, and the Amazon.com Gift Cards logo is a trademark of Amazon.com, Inc. or its affiliates.  The Amazon.com Gift Card is subject to its terms and conditions.

  8. Termination and Changes.
    Zoom may modify, suspend, or terminate the Program, these Terms, or a Referrer’s or Friend’s ability to participate in the Program at any time for any reason in its sole discretion.Zoom reserves the right to suspend or terminate accounts or decline to issue some or all of the Gift Cards obtained through the Program if we notice any activity that we believe is abusive, fraudulent, or in violation of these Terms.  We reserve the right to review and investigate all referral activities and to suspend or modify referrals in our sole discretion as deemed fair and appropriate.
  9. Liability Release.
    Except where prohibited, you agree that by participating in the Program (i) to release and hold harmless Zoom Entities and their respective parent companies, affiliates and subsidiaries, together with their respective employees, directors, officers, licensees, licensors, shareholders, attorneys and agents including, without limitation, their respective advertising and promotion entities and any person or entity associated with the production, operation or administration of the Program (collectively, the “Released Parties”), from any and all claims, demands, damages, losses, liabilities, costs or expenses caused by, arising out of, in connection with, or related to their participation in the Program (including, without limitation, any property loss, damage, personal injury or death caused to any person(s) and/or the awarding, receipt and/or use or misuse of the Program or any Gift Card); and (ii) to be contacted by Zoom Entities via email.Except where prohibited by law, the Released Parties shall not be liable for: (i) late, lost, delayed, stolen, misdirected, incomplete unreadable, inaccurate, garbled or unintelligible entries, communications or affidavits, regardless of the method of transmission; (ii) telephone system, telephone or computer hardware, software or other technical or computer malfunctions, lost connections, disconnections, delays or transmission errors; (iii) data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials; (iv) any injuries, losses or damages of any kind resulting from acceptance, possession or use of a Gift Card, or from participation in the Program; or (v) any printing, typographical, administrative or technological errors in any websites or materials associated with the Program.  Zoom Entities disclaim any liability for damage to any computer system resulting from participating in or accessing or downloading information in connection with this Program, and reserve the right, in their sole discretion, to cancel, modify or suspend the Program should a virus, bug, computer problem, unauthorized intervention or other causes beyond Zoom Entities control, corrupt the administration, security or proper play of the Program.Except where prohibited, the Released Parties shall not be liable to you for failure to supply any Gift Card or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulations(s), order(s) or request(s) prove(s) to be invalid), equipment failure, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, tornado, tsunami, war (declared or undeclared), fire, flood, epidemic, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other similar or dissimilar cause beyond any of the Released Parties’ control.

    As a condition of entering the Program, and unless prohibited by law, you agree that under no circumstances will you be entitled to any awards for any losses or damages, and you hereby waive all rights to claim punitive, incidental, consequential and any other damages, and waives any and all rights to have damages multiplied or otherwise increased.  A waiver of rights may not apply to you in your jurisdiction of residence.  Additional rights may be available to you.

  10. Applicable Law.
    Except where prohibited, disputes, claims and causes of action arising out of or related to this Program shall be resolved under the laws of the United States, and except where prohibited, California law (without reference to its conflicts of laws principles), and participant agrees to submit any dispute to the exclusive jurisdiction of the state and federal courts located in Santa Clara County, California.
